Job Profile:
Responsible for advising execution team and clients on various Mandates being executed by the Company including DCM (Listed/ Un Listed NCDs), Co-ordinating Listing of NCDs with BSE/NSE, Securitization and Transfer of Loans, Stressed Assets Sale,Corporate Finance
Answer a wide variety of questions from Counter parties (Clients and Lenders/Investors) and outside counsel that arise during a transaction;
Drafting / Review of contracts such as NDAs, Engagement Letters, Final Terms for private placements, Head of Terms, Deed of Assignment.
Review and negotiate underwriting agreements, subscription agreements, legal opinions, comfort letters, Deed of Assignment and other transaction documents;
Continuous scanning and review of of regulatory developments regarding RBI policies for Banks & NBFCs, Securities Law & Corporate Law ;
Contact and instruct external parties, such as outside legal counsel; and
Identify and manage legal risk;
Corporate Governance: Advise the board on governance matters helping to ensure that the company adheres to the highest standards of corporate governance.
Required Knowledge, Skills, and Abilities :
Education: BCOM, LLB or CS
Years of Experience: 3+ Years
Experience / Eligibility:
Legal Acumen: A strong understanding of corporate law, Securities Law, RBI regulations and regulatory frameworks is foundational. Should be able to interpret and apply legal provisions to ensure the organisation's activities and Transactions being executed by the organisation as Investment banker or Advisor meet statutory requirements.
Domain Knowledge: Strong understanding of Law and regulations related to Securities Law, RBI policies for Banks and NBFCs and Corporate Law.
Analytical Thinking: Must be adept at analysing complex legal and regulatory issues and proposing effective solutions.
Interpersonal Skills: Must possess strong interpersonal skills to facilitate effective collaboration and communication with counter parties including external Legal Counsel.
Problem-Solving Abilities: Must possess strong problem-solving skills to address issues promptly and mitigate risks.
Continuous Learning: The legal and regulatory landscape evolves continuously; hence the candidate must stay updated on changes in laws and regulations to provide accurate and up-to-date advice.
